Terms and Conditions

1. Introduction

1These terms and conditions (“Agreement”) govern your use of our design services (“Services”). By using our Services, you agree to be bound by this Agreement.

2. Subscription Plans

We offer various levels of design services. Details of the available services are outlined on our website.

3. Payment

Fees are payable in 50% advance on the commencement of the project.
Payments must be made by credit card or other specified payment methods.
All fees are non-refundable except as expressly provided in this Agreement.

4. Services

We will provide the Services as outlined in your project plan.
You may request design revisions as specified in your plan. Excessive or unreasonable revisions may incur additional charges.
Delivery times for design work are estimates and may vary based on the complexity of the request.

5. Intellectual Property

You retain all rights to any content or materials you provide to us.
Upon full payment, you will own the final design files. We retain the right to showcase the work in our portfolio unless you request otherwise in writing.

6. Client Obligations

You agree to provide timely feedback and all necessary materials for us to perform the Services.
You agree not to use the Services for any illegal or unauthorized purpose.

7. Termination

You may cancel your project at any time by providing 30 days’ written notice.
We reserve the right to terminate or suspend your project if you breach this Agreement or if your payment fails.
Upon termination, access to our Services will cease immediately, and any outstanding fees will become due.

8. Confidentiality

Both parties agree to keep confidential any proprietary information disclosed during the term of the Agreement.
This confidentiality obligation survives the termination of this Agreement.

9. Limitation of Liability

We are not liable for any indirect, incidental, or consequential damages arising from the use of our Services.
Our total liability to you for any claims arising out of or in connection with this Agreement is limited to the amount you have paid us in the past six months.

10. Governing Law

This Agreement is governed by the laws of Ireland.
Any disputes arising out of or in connection with this Agreement will be subject to the exclusive jurisdiction of the courts of Ireland.

11. Amendments

We reserve the right to modify this Agreement at any time. Any changes will be effective immediately upon posting on our website.
Continued use of the Services after any such changes constitutes your acceptance of the new terms.

12. Miscellaneous

If any provision of this Agreement is found to be unenforceable or invalid, the remaining provisions will remain in full force and effect.
 This Agreement constitutes the entire agreement between you and Designsprites.com regarding the use of the Services.

13. Ownership of Materials

You retain ownership of any materials you provide. Resulting design work ownership transfers to you upon full payment.

14. Third-Party Fonts

Use of third-party fonts may require you to obtain commercial licenses. We will inform you of any such requirements.

15. Prohibited Activities

Clients are prohibited from unauthorized use of our website, reverse engineering our services, or interfering with site security.

16. Client Feedback

Any feedback or suggestions provided by clients may be used by us without obligation.

17. Management and Oversight

We reserve the right to monitor and manage the use of our website and services, including taking legal action against violations of terms.

18. Privacy Policy

Your data will be handled according to our privacy policy, which can be found on our website.

19. Returns and Refunds

Designsprites reserves the right to deny refunds based on its own self discretion and without notice or liability to Client. Refund requests are assessed on a case by case basis. 

If a refund is deemed to be appropriate, there will be a 25% fee assigned to the remaining billable period.

20. Showcasing Design Work

Designsprites reserves to right to share design work on digital channels including social media, website, etc. unless otherwise agreed upon.
